Please read these Terms and Conditions carefully before subscribing to the Experiensa QR Code Verification Program ("Program").
1. Program Overview
The QR Code Verification Program is an optional service offered by Experiensa Tours ("Company," "we," "us," or "our") that provides participating businesses with QR code verification technology to validate tour group eligibility for special discounts and offers.
2. Subscription and Payment
2.1 Subscription Fee: The Program requires a monthly subscription fee of $25.00 USD per month ("Subscription Fee").
2.2 Payment Terms: The Subscription Fee will be automatically billed to your designated payment method on a recurring monthly basis on the anniversary of your subscription start date.
2.3 Price Changes: We reserve the right to modify the Subscription Fee with thirty (30) days' advance notice. Continued use of the Program after such notice constitutes acceptance of the new pricing.
2.4 No Refunds: Subscription Fees are non-refundable except as required by applicable law.
3. Program Requirements
3.1 App Download: Participation in the Program requires downloading and maintaining the Experiensa mobile application ("App") on a compatible device.
3.2 Device Compatibility: You are responsible for ensuring your device meets the minimum technical requirements for running the App.
3.3 Business Account: You must maintain an active business partnership account with Experiensa Tours to participate in the Program.
3.4 Internet Connection: The QR code verification system requires a stable internet connection. We are not liable for verification failures due to connectivity issues.
4. How the Program Works
4.1 QR Code Generation: Each tour group will be issued a unique QR code ID through the Experiensa App.
4.2 Verification Process: Your business will scan the QR code using the App. The QR code ID is transmitted to our server and validated against our database containing tour information, participating businesses, and applicable special offers.
4.3 Verification Results: Upon validation, the system will display:
- An animated green checkmark (✓) for valid, verified tour groups along with the special discount details
- A red X (✗) for invalid or unrecognized QR codes
4.4 Discount Application: You are solely responsible for applying the displayed discount or special offer to the verified tour group.
5. Business Obligations
5.1 Accuracy: You agree to honor all verified discounts and special offers displayed through the QR verification system.
5.2 Good Faith: You agree to use the Program in good faith and not to deny service to verified tour groups without legitimate cause.
5.3 Security: You are responsible for maintaining the security of your business account credentials and App access. Immediately notify us of any unauthorized access.
5.4 Training: You are responsible for training your staff on proper use of the QR verification system.
6. Data and Privacy
6.1 Data Collection: The Program collects verification transaction data including QR code IDs, verification timestamps, business identifiers, and verification results.
6.2 Data Use: Collected data is used to facilitate verification, prevent fraud, improve services, and generate analytics reports.
6.3 Privacy Policy: Your use of the Program is also governed by our Privacy Policy, incorporated herein by reference.
6.4 Data Retention: We retain verification data for a minimum of twelve (12) months for audit and fraud prevention purposes.
7. Cancellation
7.1 Cancellation Rights: You may cancel your subscription at any time through your business account dashboard or by contacting our support team at support@experiensatours.com.
7.2 Effective Date: Cancellation will take effect at the end of your current billing cycle. You will retain access to the Program until that date.
7.3 No Partial Refunds: No refunds or credits will be issued for partial subscription periods.
8. Service Availability and Support
8.1 Uptime: While we strive to maintain 99% uptime, we do not guarantee uninterrupted service availability.
8.2 Maintenance: We reserve the right to perform scheduled maintenance with reasonable advance notice.
8.3 Support: Technical support is available via email at support@experiensatours.com during standard business hours (Monday-Friday, 9:00 AM - 5:00 PM EST).
9. Limitation of Liability
9.1 Service Provided "As Is": The Program is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
9.2 Liability Cap: Our total liability to you for any claims arising from or related to the Program shall not exceed the amount you paid in Subscription Fees during the three (3) months immediately preceding the claim.
9.3 Excluded Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.
9.4 Business Disputes: We are not liable for disputes between your business and tour groups regarding discount application or service provision.
10. Intellectual Property
10.1 Ownership: All intellectual property rights in the Program, App, and QR verification technology remain our exclusive property.
10.2 Limited License: We grant you a limited, non-exclusive, non-transferable license to use the Program solely for its intended business verification purpose.
10.3 Restrictions: You may not reverse engineer, decompile, or attempt to extract source code from the App or verification system.
11. Termination
11.1 Termination by Us: We reserve the right to suspend or terminate your access to the Program immediately if you:
- Breach these Terms and Conditions
- Engage in fraudulent activity
- Violate applicable laws or regulations
- Fail to maintain an active business partnership with Experiensa Tours
11.2 Effect of Termination: Upon termination, your access to the Program will cease immediately, and no refunds will be issued for the remaining subscription period.
12. Modifications to Terms
12.1 Right to Modify: We reserve the right to modify these Terms and Conditions at any time.
12.2 Notice: Material changes will be communicated via email and/or in-app notification at least thirty (30) days before taking effect.
12.3 Continued Use: Your continued use of the Program after changes take effect constitutes acceptance of the modified terms.
13. Governing Law and Disputes
13.1 Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
13.2 Jurisdiction: Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in Ottawa, Ontario, Canada.
13.3 Dispute Resolution: Before initiating formal legal proceedings, parties agree to attempt good faith negotiation for thirty (30) days.
14. General Provisions
14.1 Entire Agreement: These Terms and Conditions, together with our Privacy Policy and Partnership Agreement, constitute the entire agreement between you and Experiensa Tours regarding the Program.
14.2 Severability: If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.
14.3 Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
14.4 Assignment: You may not assign or transfer these terms without our prior written consent. We may assign these terms without restriction.
14.5 Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
